Agreement to Terms

By accessing or using this Website, or purchasing any Century Labs (“Century Labs,” “we,” “our,” or “us”) products, you (the “Customer,” “you,” or “your”) affirm that you are at least 21 years of age and agree to be bound by these Terms and Conditions of Service in their entirety. By purchasing or using any product from the Website, you acknowledge that you have read, understood, and accepted the following Research Use and Compliance Disclaimer.

Research Use & Compliance Disclaimer

The products available on the Website are intended for laboratory research purposes only, and are not for human or animal consumption. They are not intended to diagnose, treat, cure, or prevent any disease, and should not be used as a food, drug, cosmetic, or for other household use. By accessing the Website, you acknowledge that it is your sole responsibility to ensure compliance with all applicable laws and regulations within your jurisdiction. No information on the Website should be interpreted as medical advice.

Customer Representations & Warranties

By purchasing from Century Labs, you represent and warrant that:

• You are at least 21 years of age.
• You are a qualified researcher or operate within a controlled laboratory environment.
• You understand the health and safety hazards of handling laboratory chemicals and compounds.
• You have the knowledge, training, equipment, and facilities to safely handle these materials.
• You will comply with all applicable local, state, federal, and international laws regarding the purchase, possession, and use of research materials.
• You accept full responsibility for verifying regulatory compliance for your intended use.

FDA & Legal Disclaimer

The statements and information provided on the Website have not been evaluated by the U.S. Food and Drug Administration (FDA). Products sold by Century Labs are not intended to diagnose, treat, cure, or prevent any disease. Century Labs is a research-use-only (RUO) chemical supplier and not a compounding pharmacy, medical provider, or outsourcing facility under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act. All products are labeled and marketed for research use only.

Blacklist — Zero-Tolerance Policy

Any communication indicating that the Customer will use or intends to use our products in a manner other than intended will result in a permanent “Refusal to Sell” and blacklisting. Prohibited uses include:

• Human or animal consumption;
• Diagnostic, therapeutic, or clinical applications;
• Compounding under Sections 503A or 503B of the FD&C Act;
• Performance enhancement or aesthetic purposes;
• Any consumer, agricultural, or commercial applications; or
• Educational demonstrations involving human or animal subjects.

This list is not exhaustive. Century Labs reserves the right to suspend or terminate the Customer’s account at any time if we believe these Terms have been or will be violated.

Orders, Pricing & Payment

The Customer agrees to provide current, complete, and accurate purchase information. We reserve the right to refuse or cancel any order at our sole discretion, including after payment has been received. Prices are in USD and exclude taxes, duties, and shipping. Prices and availability are subject to change without notice. All sales are final and orders are non-cancellable once payment is processed, except on products with verified manufacturing defects.

Chargeback Policy

If the Customer initiates a chargeback without first contacting our support team in writing and allowing thirty (30) business days to investigate in good faith, such action may be considered a material breach of these Terms. Century Labs reserves the right to pursue immediate account termination, collections proceedings including attorneys’ fees, a liquidated damages fee, and reporting to regulatory authorities.

Shipping & Delivery

The Customer is responsible for providing accurate and complete shipping information. Century Labs shall not be liable for delays, losses, or reshipment costs resulting from incorrect or incomplete addresses. We may refuse high-risk addresses.

Returns & Refunds

ALL SALES ARE FINAL. Due to the nature of research chemicals and safety and contamination risks, there are no returns, refunds, or exchanges once an order is placed, with the exception of verified manufacturing defects. The Customer must inspect shipments immediately and report any issues in writing within seven (7) calendar days of delivery with photographic evidence. For verified defects, our sole remedy at our discretion is a replacement or store credit.

Limitation of Liability

Products are provided “AS IS” without warranty, express or implied. Century Labs’ total liability shall not exceed the purchase price of the specific product. We are not liable for indirect, consequential, or incidental damages, lost profits, business interruption, or personal injury after title transfer.

Indemnification

The Customer agrees to indemnify, defend, and hold harmless Century Labs, its owners, employees, affiliates, and agents from any claims, losses, liabilities, or expenses (including attorneys’ fees) arising from the Customer’s use of the Website, handling, misuse, or transfer of any product, or violation of these Terms.

Intellectual Property

Century Labs owns all intellectual property rights in Website content and design, product formulations and synthesis methods, trademarks and trade names, and technical documentation. The Customer receives a non-exclusive, non-transferable, revocable license to use the products solely for internal research purposes. The Customer shall not reverse engineer products, remove proprietary notices, or use automated tools to scrape the Website.

Privacy

We collect contact details, order information, and date of birth for age verification. We use this information to process and fulfill orders, verify eligibility, communicate about orders, comply with legal obligations, and prevent fraud. We may share personal information with payment processors, shipping carriers, and legal or regulatory authorities where required. We do not sell or rent your personal information for third-party marketing. Depending on your location, you may have rights to access, delete, correct, or port your personal information, and to withdraw consent.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. The parties agree to attempt in good faith to resolve any dispute through informal negotiation for thirty (30) days prior to formal proceedings. Any unresolved disputes shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The prevailing party shall be entitled to recover reasonable attorneys’ fees and costs.

Changes to Terms

Century Labs reserves the right to update or replace any part of these Terms at any time. Changes become effective upon posting unless otherwise specified. Your continued use of the Website following any changes constitutes acceptance of the modified terms.

Acknowledgment

By using the Website or purchasing Century Labs products, you acknowledge that you have read, understood, and agree to be bound by these Terms. You specifically acknowledge the Research Use Only (RUO) designation of all products and agree that products are not intended for diagnostic, therapeutic, or clinical use.
